CONSTITUTION AND BY – LAWS OF THE INDIANA STATE SENIORS GOLF ASSOCIATION, INC. (AS AMENDED OCTOBER 1, 2008)
ARTICLE IName
Section 1: The name of this organization shall be the Indiana State Seniors Golf Association.
ARTICLE IIObject
Section 1: The object of the association is the promotion of golf, support of the Evans Scholarship, and good fellowship among the members through participation in a series of golf tournaments and dinners to be held each summer.
ARTICLE IIIMembers
Section 1: Membership of the association shall be composed of those persons holding amateur golf standings, interested in golf, good sportsmanship, and fellowship.
Section 2: Membership is limited to those persons who have attained their fifty – fifth birthday.
Section 3: Upon application for membership, the resident must be a resident of the State of Indiana. Having become a member, said member may maintain membership even though such member may later change place of residence to somewhere outside of the State of Indiana.
Section 4: A prospective member must be proposed and endorsed for membership by two active members in good standing.
Section 5: The number of active members shall be set by the board of directors exclusive of those whose membership is on an honorary basis.
Section 6: A member who serves as president of this association shall become an honorary member the year and years following termination of office.
Section 7: A member who attains the age of seventy – five and who has been a member for a period of at least ten consecutive years prior to becoming seventy – five shall become an honorary member. By action of the board on October 1, 2008, the provision of this section will be discontinued in the year 2012.
Section 8: Members who are honorary members at the present time and those who become honorary members before 2012 shall remain as honorary members.
Section 9: A regular member may become an honorary member of the association, for reasons other than those stated above, only by vote of the board of directors.
Section 10: Members of the association shall be classified for tournament play as follows: Class A - Age 75 years and older Class B – Age 70 to 74 inclusive Class C – Age 65 to 69 inclusive Class D – Age 60 to 64 inclusive: Class E – Age 55 to 59 inclusive
Section 11: The board of directors may establish classes of flights for tournament play, other than those shown above, as they deem appropriate.
Section 12: Dress code for members who participate in tournaments sponsored by the association shall be consistent with appropriate golfing attire; i.e., golf slacks or shorts, collared shirts, and soft-spike shoes (jeans or cut-off shorts will not be allowed).
ARTICLE IVDues and application fees
Section 1: The board of directors shall determine the annual dues to be charged each member and the application fee for each person applying for membership in the association.
Section 2: Upon acceptance for membership, an application fee, in addition to the annual dues, shall be charged.
Section 3: Members failing to pay their annual dues will be dropped from the membership rolls but may be reinstated upon payment of dues at any time without further penalties, provided there is a vacancy.
Section 4: An honorary member shall be exempt from payment of membership application fees and annual dues, but may be charged a fee set by the Board of Directors to approximately cover the printing and mailing cost of membership information.
ARTICLE VOfficers
Section 1: The officers of the Association shall be a President, First Vice – President, Second Vice – President, Secretary – Treasurer, and Director of Golf. The Secretary – Treasurer and the Director of Golf shall be bonded and funds of the Association shall be properly insured.
Section 2: Officers for the succeeding year shall be elected by the Board of Directors from among its members at a meeting held following the Association’s August championship tournament, except that the Secretary – Treasurer or Director of Golf need not be a Director of the corporation.
Section 3: Officers shall be elected for a term of one year but may succeed themselves if so elected.
Section 4: Officers shall assume the duties of their office at and upon the termination of the last tournament of each year.
Section 5: The duties of the Officers shall be as follows:
- President: The president shall be responsible for the general management of the current affairs of the committees deemed necessary to carry on the activities of the Association.
- First and Second Vice Presidents: In the absence or the inability of the president to perform his duties, those duties of such office will be performed by the First Vice President. If, through absence or inability, neither the President nor the First Vice President can perform those duties, they will be assumed by the Second Vice President.
- Secretary – Treasurer: The Secretary – Treasurer shall be responsible for all the correspondence connected with the business of the Association, shall maintain accurate, active records pertaining to the membership; shall maintain minutes of all regular meetings and those of the Board of Directors; shall assist in making arrangements for regular golf tournaments and the dinners following events; shall oversee the Director of Golf responsibility; shall be responsible for the funds of the Association and complete accounting thereof; shall present a complete and audited financial statement to the Board of Directors at each annual meeting. The Secretary – Treasurer shall receive compensation for the performance of these duties in an amount as directed annually by the Board of Directors.
- Director of Golf: The Director of Golf shall make all arrangements for regular golf tournaments and the dinners following events; shall pay all indebtedness incurred at these tournaments and events; shall purchase all prizes and trophies and shall be responsible for the delivery of same to the tournament and dinner sites; shall recruit starters, scorers, and marshals as needed to properly and efficiently manage the golf tournaments; shall maintain accurate records of all funds received and costs paid and provide same to the Secretary – Treasurer for the preparation of financial statements and to be maintained in the Association records. The Director of golf shall receive compensation for the performance of these duties in an amount as directed annually by the Board of Directors.
ARTICLE VI
Board of Directors
Section 1: The Board of Directors shall consist of the President, First and Second Vice President, immediate Past President, and nine members duly elected by the general membership.
Section 2: The Directors elected by the general membership shall serve for a period of three years.
Section 3: The Board of Directors shall place in nomination each year, to be voted upon by the general membership at the Association’s August championship by written ballot, not less than three and not more than five names of members to become members of the Board of Directors.
Section 4: The Board of Directors, under the direction of the President, shall be the governing body of the Association. Fifty per cent of the Directors must be present at an official meeting to constitute a quorum. A simple majority vote of the Directors present shall be decisive on any question excepting by-law amendments.
ARTICLE VIIMeetings and Tournaments
Section 1: The Association shall hold golf tournaments as scheduled by the Board of Directors.
Section 2: The Board of Directors shall meet on the second day of the Association’s August Championship tournament for the purpose of electing officers for the succeeding year.
Section 3: The Board of Directors shall convene at the call of the President or at the call of three members of the Board of Directors.
ARTICLE VIII
Committees
Section 1: The President shall appoint committees felt necessary to conduct any business or activity of the Association, and shall invest in these committees any powers necessary to conduct said business which are not consistent with any provisions of these by-laws.
ARTICLE IXParliamentary Authority
Section 1: The rules contained in Roberts Rules of Order – Revised Edition shall govern this Association in all cases in which they are applicable and in which they are not inconsistent with these by-laws.
ARTICLE XAmending of By-Laws
Section 1: These by-laws may be amended at any formal meeting of the Board of Directors, providing two-thirds of the Directors are present and a written notice containing the proposed changes has been presented by mail to the entire Board not less than thirty days prior to said meeting; the time and place of which is stated in the same notice.
